1. Counterparty Contract Review

Goal: Safely review a draft sent by another party, identify risks, and redline it.

Step 1: Initial Scan (Word Add-in)

Open the document in Word. Set your Context (e.g., "I am the Service Provider"). Run Document Overview to check for missing standard clauses and confirm key dates.

Step 2: Deep Review

Run the Review function. Toggle Side Selection to "My Client" to see risks specific to you. Review the high-priority flags first.

Step 3: Deep Dive on Tricky Clauses (Web)

If a specific clause is complex, copy it to the Web Platform. Ask: "Is this indemnity standard for a SaaS agreement in NY? Provide examples of market standard language."

Step 4: Apply Redlines

Back in Word, use AI Amendments to apply the fixes with Track Changes. Use "Tell AI" for custom instructions like "Cap liability at 12 months' fees."

2. Drafting a New Agreement

Example: Rental Agreement or NDA.

Step 1: Prompt (Web Platform)

Start on the Web. Prompt: "Create a rental agreement between ABC Ltd. and Building Owner SRL. Term: 12 months. Rent: 4,000/mo. Jurisdiction: Israel."

Step 2: Refine

Follow up: "Include a termination for convenience clause with 60 days notice. Add a maintenance section compliant with local law."

Step 3: Export & Finalize

Click the Word icon to export. Open in Word and do a final read-through.

3. Legal Research Memo

Example: Non-compete enforceability.

Process

  • Query (Web): "Compare enforceability of non-compete clauses under Israeli vs EU law for tech employees."
  • Deepen: "List key statutes and leading cases. Summarize the practical differences for an employer."
  • Verify: Ask Wisanna to provide links or citations for the cases mentioned.
  • Output: Export the summary to Word to use as the basis for your client memo.

4. Negotiation Preparation

Goal: Prepare a "battle card" for a call with the counterparty.

5. Litigation Support

Goal: Draft a motion or pleading.
